1. Acceptance of Terms
By accessing and using the IWELL US wholesale website (iwelluswholesale.com) and the IWELL B2B App (collectively, the "Services"), you agree to be bound by these Terms and Conditions. These Terms constitute a legally binding agreement between you and Iwell Trade Inc. (d/b/a IWELL US).
2. Modifications
IWELL US reserves the right to update these Terms at any time. Changes become effective immediately upon being posted to the Website or App. Your continued use of the Services constitutes acceptance of the revised Terms.
3. Wholesale Membership & Eligibility
The Services are strictly for approved B2B wholesale members.
- Limited App Access: You acknowledge that the IWELL B2B App is currently in an early-stage release. Access is provided by invitation only to selected customers at the sole discretion of IWELL US.
- Revocation:Β IWELL US reserves the right to grant, deny, or revoke App access to any user at any time, with or without notice, including based on trading history, account standing, or violation of these Terms.
- Proprietary Brands: Wellβs Oil, Akwaaba, BlunTiger, Pefecx, Iwell Signature, Snow Lens, and Rose Lens.
- Third-Party Brands: Brands distributed by IWELL US but manufactured by third parties.

4. Account Security & Responsibility
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify IWELL US immediately of any unauthorized use or security breach.
5. Account Setup & Public Disclosure

Default Info: Upon approval, the account name provided during registration will be set as the default store name. Members may update their address or company info via account settings on the Website.

Marketing Disclosure: By maintaining a membership, you agree that IWELL US may publicly display your business name, store address, and business contact info on our Platforms or promotional materials to identify you as an Authorized Retailer. We will not display personal private data. To opt-out, contact
wholesale@iwellus.com.
6. Ordering and Payment Processes
The ordering and payment workflow differs depending on the Platform used:

Web Platform (Upfront Payment): Orders placed via the website require upfront payment in full at the time of checkout before the order is processed for shipping.

IWELL B2B App (Net 30 & Approval): Orders placed via the IWELL B2B App are subject to manual approval by IWELL US. Approved App orders are granted Net 30 terms, meaning payment is due within thirty (30) calendar days of the invoice date.

Unified Outstanding Balance Restriction: Regardless of the platform, if an account has any outstanding balance or overdue invoice, the user is strictly prohibited from placing any new orders on either the Website or the IWELL B2B App until the balance is paid in full.

Payment Finalization: You acknowledge that while orders may be initiated on the IWELL B2B App, all payments must be completed via the secure invoice system on our website.
7. Returns, Damages, and Refunds
Returns, exchanges, and claims for damaged or missing items are governed by our Returns Policy available on iwelluswholesale.com. In the event of a conflict between these Terms and the Returns Policy, the Returns Policy shall control regarding those specific issues.
8. Contact Lens Regulatory Compliance
Certain products, including contact lenses, are subject to federal and state laws.

User Responsibility: It is your sole responsibility to comply with all applicable local, state, and federal regulations regarding the resale of contact lenses.

No Verification: IWELL US does not verify purchaser eligibility for specific state requirements and is not liable for purchases made in violation of the law.

No Returns: Orders placed in violation of regulations are not eligible for return, refund, or exchange.
9. Intellectual Property
All content on the Platformsβincluding logos, images, text, and graphicsβis the property of IWELL US and protected by intellectual property laws. Unauthorized reproduction or distribution is strictly prohibited.
10. Service Availability & Maintenance
IWELL US may temporarily suspend access to the Services for maintenance, security updates, or other operational reasons, with or without prior notice. We are not liable for any damages or business interruptions resulting from such downtime.
11. Limitation of Liability

Warranties: IWELL US provides warranties only on items it manufactures. For all other products, refer to the original manufacturerβs warranty.

Service Use: We do not guarantee that the Services will be error-free or uninterrupted. Access is provided on an "as-is" basis.
12. Termination of Access
IWELL US reserves the right to terminate or suspend your access to the Services without notice for any violation of these Terms or for any other reason deemed necessary by the company.
13. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.
Any disputes arising out of these Terms or your use of the Services shall be brought exclusively in the state or federal courts located in Baltimore, Maryland, and you consent to such jurisdiction and venue.
14. Relationship to Other Policies
These Terms incorporate by reference our Privacy Policy and any other posted site policies. In the event of a direct conflict between these Terms and a policy specific to a particular product or promotion, the specific policy will control.
